1. Introduction and Acceptance
These Terms of Use ("Terms") govern your access to and use of the cryptocurrency-to-cryptocurrency exchange platform operated by RIEGEL DEL SUR, S.A.S. DE C.V. ("Company", "we", "us", "our"), a simplified joint-stock company with variable capital (Sociedad por Acciones Simplificada de Capital Variable) duly organized under the laws of the Republic of El Salvador, registered with the Commercial Registry under No. 198, Book 4957 of the Companies Registry, Business Registration No. 2026135109, Tax ID (NIT) 9311-020271-101-9, with registered address at Avenida El Espino, Colonia San Benito, Centro Comercial Estacion del Casco, Third Level, STOFFICENTER, Office 10, San Salvador, El Salvador.
These Terms apply to your access to and use of the website at https://puento.tech/ and any related interfaces through which the Company provides cryptocurrency-to-cryptocurrency swap services (collectively, the "Platform").
The Platform is exclusively intended to provide cryptocurrency-to-cryptocurrency exchange services ("Swap Services").
By registering for, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and AML/CFT Policy, which are incorporated herein by reference.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.
2. Eligibility and Geographic Restrictions
2.1 Eligibility
By using the Platform, you represent and warrant that:
You are at least eighteen (18) years of age or the age of legal majority in your jurisdiction.
You have the legal capacity to enter into a binding contract.
You are not a resident, citizen, or tax resident of any Prohibited Jurisdiction.
You are not located in a jurisdiction from which the Company prohibits access to the Platform.
You are not listed on any applicable sanctions list.
You will not use the Platform for any illegal activity, including money laundering, terrorist financing, fraud, or other financial crimes.
2.2 Prohibited Jurisdictions
The Platform is NOT available to residents, citizens, or persons located in the following jurisdictions ("Prohibited Jurisdictions"):
The United States of America, including all US territories and possessions.
The European Union and its Member States.
Republic of Armenia, Republic of Azerbaijan, Republic of Belarus, Republic of Kazakhstan, Kyrgyz Republic, Republic of Moldova, Russian Federation, Republic of Tajikistan, Republic of Uzbekistan, Turkmenistan, and Ukraine.
Any country or territory subject to comprehensive sanctions administered by the United Nations Security Council, the United States Office of Foreign Assets Control (OFAC), the European Union, or the United Kingdom.
Any other jurisdiction from which the Company determines, at its discretion, that access to the Platform must be restricted or prohibited.
You represent and warrant that you are not located in, organized under the laws of, or a resident or citizen of any Prohibited Jurisdiction.
The Company reserves the right to restrict, suspend, or block access to the Platform from any jurisdiction. If the Company determines that you are accessing or using the Platform in violation of these geographic restrictions, it may immediately suspend or terminate your account and take any other action required or permitted by applicable law.
2.3 Sanctions Compliance
The Company complies with applicable sanctions laws and regulations, including those administered by the United Nations Security Council, OFAC, the European Union, the United Kingdom, and other relevant authorities.
Users may be screened against applicable sanctions lists upon registration and on an ongoing basis.
If a sanctions match or other sanctions-related concern is identified, the Company may refuse to establish or continue the relationship, suspend or block access to the Platform or any Swap, and take any other action required or permitted by applicable law.
3. Account Registration
3.1 Registration Requirements
To access the Platform and use the Swap Services, you must:
Provide accurate, current, and complete information as requested during registration.
Confirm that you are not located in a Prohibited Jurisdiction.
Complete identity verification ("KYC") through the Company's designated KYC provider.
Provide any additional information or documentation reasonably requested by the Company for KYC, AML/CFT, sanctions, security, or risk-management purposes.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and authentication information.
You are responsible for all activities conducted through your account, except to the extent caused by the Company's failure to comply with its applicable legal obligations.
You must notify the Company promptly if you become aware of unauthorized access to your account or any other security incident.
4. Swap Services
4.1 Cryptocurrency-to-Cryptocurrency Swaps
The Platform provides cryptocurrency-to-cryptocurrency swap services that allow eligible users to exchange one supported cryptocurrency for another supported cryptocurrency ("Swap").
The Swap Services constitute the sole service provided through the Platform.
4.2 Supported Cryptocurrencies
The cryptocurrencies and trading pairs available for Swap may be determined, added, removed, suspended, or modified by the Company from time to time.
The Company does not guarantee the continued availability of any particular cryptocurrency or trading pair.
4.3 Exchange Rate
Before confirming a Swap, the Platform may display the applicable exchange rate, the estimated amount of cryptocurrency to be received, and any applicable fees.
Cryptocurrency exchange rates may fluctuate rapidly due to market conditions. The rate applicable at the time a Swap is executed may differ from a rate previously displayed.
4.4 Transaction Confirmation
By confirming a Swap, you authorize the Company to execute the cryptocurrency-to-cryptocurrency exchange based on the terms displayed at the time of confirmation.
You are solely responsible for reviewing and confirming all transaction details before submitting a Swap.
4.5 Transaction Irreversibility
Cryptocurrency transactions may be irreversible once submitted, processed, or recorded on the relevant blockchain.
Once a transaction has been broadcast to or confirmed on a blockchain, it may not be possible to cancel, reverse, or modify it.
You are solely responsible for verifying all transaction details before confirmation, including the amount, cryptocurrency, destination address, and applicable blockchain network.
The Company shall not be responsible for losses resulting from incorrect information or transaction instructions provided by you.
4.6 Blockchain and Network Risks
You acknowledge that cryptocurrency transactions and blockchain networks involve inherent technological and operational risks, including network congestion, delays, protocol changes, forks, reorganizations, technical failures, cybersecurity incidents, and other events outside the Company's reasonable control.
The Company does not guarantee the uninterrupted availability or functionality of any blockchain network.
5. KYC and AML/CFT Compliance
5.1 Identity Verification
You agree to provide all information and documentation requested by the Company or its designated KYC providers for the purpose of verifying your identity and complying with applicable AML/CFT and sanctions requirements.
The Company may request additional information or documentation at any time where reasonably necessary for compliance, risk assessment, or transaction review.
5.2 Ongoing Monitoring
Your account and Swap transactions may be subject to ongoing monitoring for suspicious activity in accordance with applicable law and the Company's AML/CFT Policy.
The Company may:
Screen users against applicable sanctions lists.
Conduct PEP and adverse media screening.
Analyze Swap transactions and associated blockchain addresses for AML/CFT, sanctions, fraud, and other financial crime risks.
Conduct blockchain analytics and wallet-address screening.
Request information or documentation concerning source of funds or source of wealth.
Delay, reject, suspend, or block a Swap where required or permitted by applicable law or the Company's compliance procedures.
Report suspicious transactions or activity to the Financial Investigation Unit (UIF) of the Attorney General's Office of El Salvador or other competent authorities, where required by law.
5.3 Failure to Comply
If you fail to provide information or documentation reasonably requested for KYC, AML/CFT, sanctions, or transaction monitoring purposes, or if the Company cannot satisfactorily verify your identity or assess the relevant risk, the Company may:
Refuse to provide the Swap Services.
Restrict or suspend your account.
Reject, delay, or block a Swap.
Terminate your access to the Platform.
Make any disclosure or report required by applicable law.
6. Fees
The Company may charge fees in connection with the Swap Services.
Applicable fees will be disclosed to you before you confirm a Swap, where reasonably practicable.
The Company reserves the right to modify its fee structure from time to time.
7. Sanctions and Restricted Transactions
The Platform implements sanctions screening against applicable sanctions lists, including, at minimum:
United Nations Security Council Consolidated List.
United States OFAC Specially Designated Nationals (SDN) List and other applicable OFAC sanctions lists.
European Union Consolidated Financial Sanctions List.
United Kingdom Office of Financial Sanctions Implementation (OFSI) Consolidated List.
Any other sanctions lists applicable under Salvadoran law or relevant international obligations.
You agree not to use the Platform to:
Conduct or attempt to conduct a Swap with or for the benefit of a sanctioned person, entity, wallet address, or jurisdiction.
Circumvent or attempt to circumvent applicable sanctions or restrictive measures.
Facilitate transactions involving proceeds of crime or other unlawful activity.
Cause the Company to violate any applicable sanctions requirement.
The Company may use blockchain analytics and other screening tools to identify cryptocurrency transactions or wallet addresses presenting elevated sanctions, AML/CFT, fraud, or other financial crime risks.
8. Prohibited Activities
In connection with your use of the Platform and Swap Services, you agree not to:
Violate any applicable law, regulation, or these Terms.
Engage in or facilitate money laundering, terrorist financing, fraud, or other financial crimes.
Use the Platform for illegal gambling, betting, or other unlawful activities.
Provide false, misleading, inaccurate, or incomplete information.
Use the Platform to conceal or disguise the origin, ownership, or destination of illicit assets.
Attempt to manipulate the Platform, its exchange rates, Swap execution, transaction processing, or any other technical or operational process.
Exploit, abuse, or take advantage of any bug, vulnerability, defect, malfunction, technical error, pricing error, calculation error, or other unintended behavior of the Platform or Swap Services, whether known or unknown to the Company, in order to obtain an unauthorized benefit or advantage.
Use any bug, vulnerability, technical error, malfunction, or unintended functionality to obtain cryptocurrency, execute a Swap on unauthorized or erroneous terms, avoid applicable fees, increase an account balance, or otherwise obtain assets or benefits to which you are not entitled.
Attempt to circumvent, bypass, disable, interfere with, or defeat any security measure, transaction limit, access control, technical restriction, or other protective mechanism implemented by the Company.
Continue to use or exploit a known error, vulnerability, or malfunction after becoming aware of it where such use may result in an unauthorized benefit, loss to the Company or another user, or compromise of the Platform.
Fail to promptly notify the Company after discovering a material bug, vulnerability, pricing error, or other technical issue that may affect the security, integrity, or proper functioning of the Platform or result in an unauthorized benefit.
Use bots, scrapers, scripts, automated systems, or other automated means to access or interact with the Platform without the Company's prior written authorization.
Interfere with or disrupt the Platform, its infrastructure, servers, or networks.
Attempt to gain unauthorized access to the Platform, its systems, or another user's account.
Introduce viruses, malware, malicious code, or other harmful software.
Use the Platform for any purpose prohibited by the Company's AML/CFT Policy.
Any Swap, transaction, balance adjustment, or other result obtained through the exploitation of a bug, vulnerability, technical error, pricing error, malfunction, or other unintended behavior may be cancelled, reversed, corrected, or otherwise adjusted by the Company to the extent permitted by applicable law.
The Company reserves the right to suspend or terminate a user's access to the Platform and take any other appropriate action where it reasonably believes that the user has exploited or attempted to exploit a vulnerability, error, malfunction, or unintended behavior.
9. Intellectual Property
All content, software, technology, trademarks, logos, graphics, interfaces, and other materials comprising or relating to the Platform are owned by RIEGEL DEL SUR, S.A.S. DE C.V. or its licensors and are protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, create derivative works from, publicly display, reverse engineer, or commercially exploit any part of the Platform without the Company's prior written consent, except as expressly permitted by applicable law.
10. Privacy
Your use of the Platform is subject to the Company's Privacy Policy, which describes how the Company collects, uses, processes, stores, and discloses your personal data in accordance with applicable Salvadoran data protection laws.
The Company may process personal data where necessary to provide the Swap Services, perform KYC and AML/CFT procedures, conduct sanctions and transaction screening, prevent fraud and financial crime, maintain Platform security, and comply with applicable legal and regulatory obligations.
11. Risk Disclosure
You acknowledge that cryptocurrencies and blockchain-based transactions involve significant risks, including price volatility, liquidity risk, technological risk, cybersecurity risk, regulatory risk, and the risk of permanent loss.
The value of cryptocurrencies may fluctuate significantly, and you may lose some or all of the value of the cryptocurrency involved in a Swap.
You are solely responsible for assessing whether the Swap Services are appropriate for you and for obtaining independent professional advice where appropriate.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
The Platform and Swap Services are provided on an "as is" and "as available" basis.
The Company does not guarantee that the Platform or Swap Services will be uninterrupted, error-free, secure, or continuously available.
The Company is not responsible for losses caused by blockchain network failures, congestion, protocol changes, forks, reorganizations, or other events outside its reasonable control.
The Company is not responsible for losses resulting from incorrect wallet addresses, blockchain networks, transaction details, or other information provided by you.
The Company shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits or business opportunities.
To the maximum extent permitted by applicable law, the Company's aggregate liability arising out of or relating to these Terms shall not exceed the total fees paid by you to the Company during the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless RIEGEL DEL SUR, S.A.S. DE C.V., its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to:
Your use of or access to the Platform or Swap Services.
Your violation of these Terms or applicable law.
Your provision of false, inaccurate, or misleading information.
Your violation of any third-party rights.
Any unlawful activity conducted through your account.
Any unauthorized exploitation of a bug, vulnerability, error, malfunction, or unintended functionality of the Platform.
14. Suspension and Termination
14.1 Termination by You
You may request closure of your account at any time through the support channels made available by the Company.
14.2 Suspension or Termination by the Company
The Company may suspend or terminate your account or access to the Platform if:
You breach these Terms.
You fail to satisfy applicable KYC, AML/CFT, or sanctions requirements.
The Company suspects fraudulent, unlawful, or suspicious activity.
The Company reasonably believes that you have exploited or attempted to exploit a bug, vulnerability, technical error, malfunction, or unintended functionality of the Platform.
The Company is required to do so by applicable law, court order, or regulatory directive.
You are located in or become a resident of a Prohibited Jurisdiction.
You become subject to applicable sanctions.
Continued provision of the Swap Services would expose the Company to unacceptable legal, regulatory, sanctions, AML/CFT, or other risks.
14.3 Effect of Termination
Upon termination:
You remain responsible for all obligations incurred before termination.
The Company may retain records relating to your account and transactions for the period and purposes required by applicable law.
Any outstanding transaction or cryptocurrency balance shall be handled in accordance with applicable law, the Company's AML/CFT procedures, and the circumstances giving rise to the termination.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the Republic of El Salvador, without regard to its conflict-of-laws principles.
15.2 Dispute Resolution
The parties shall first attempt to resolve any dispute through good-faith negotiations for a period of thirty (30) days.
If the dispute cannot be resolved amicably, it shall be finally resolved by arbitration in San Salvador, El Salvador, in accordance with the applicable arbitration laws and rules of the Republic of El Salvador.
The language of the arbitration shall be English. The arbitral award shall be final and binding on the parties.
Notwithstanding the foregoing, the Company may seek injunctive or other equitable relief before a competent court to protect its intellectual property, confidential information, Platform security, or to enforce applicable sanctions, AML/CFT, or other legal requirements.
16. Amendments to These Terms
The Company may amend these Terms from time to time.
Material changes will be communicated through the Platform or by other appropriate means at least fifteen (15) days before they become effective, where required by applicable law.
Your continued use of the Platform after the effective date of amended Terms constitutes your acceptance of the amended Terms.
If you do not agree to the amended Terms, you must discontinue use of the Platform.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy and AML/CFT Policy, constitute the entire agreement between you and the Company regarding your use of the Platform and Swap Services.
17.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17.3 Waiver
The Company's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
17.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without the Company's prior written consent.
The Company may assign its rights and obligations in connection with the Platform, subject to applicable law.
17.5 Force Majeure
The Company shall not be liable for any failure or delay caused by events beyond its reasonable control, including blockchain network disruptions, network failures, cyber incidents, natural disasters, acts of government, regulatory actions, war, terrorism, or other force majeure events.
17.6 Language
These Terms are originally drafted in English. Any translation is provided for convenience only. In the event of any inconsistency between the English version and a translation, the English version shall prevail.
